Inbound foreign direct investment
We have had extensive practical experience in the area of inbound direct investment, representing a large number of foreign clients in the establishment of foreign investment enterprises and representative offices in China, and provide supporting legal services pertaining to the operation of these enterprises and representative offices post establishment, which include:
• Providing legal opinion and advice pertaining to investment and shareholding structure, tax and financial planning, human resources, foreign exchange management, corporate governance matters of foreign investment enterprises;
• Conducting legal due diligence exercise on potential partner or the subject matter of the merger & acquisition and provide due diligence report in the findings;
• Participating in the negotiation process and drafting legal documentation;
• Assisting in the approval process and the application of business licence etc;
• Assisting client in the dissolution of companies which includes formulating liquidation committee, issuing public notice, declaration of debts, providing liquidation proposal, undergoing liquidation process with relevant market supervision, tax, customs, and foreign exchange authorities.
Outbound direct investment
Our team has been assisting an increasing number of Chinese enerprises investing abroad, particularly in countries within the RCEP framework in which we assist enterprises in matters relating to investment dispute resolution, e-commerce, trade in fgoodsm trade in services, rules of origin, and intellectual property protection, particulars of these services are as follows:
• Identifying, on behalf of client, possible investment opportunity in a foreign host country through our local contact in such country;
• Assisting client in evaluating the feasibility of such investment opportunity;
• Advising client on the structure and mode of investemnt on their potental direc investment in a foreign host country, including by way of merger & acquisition, setting up of a company or a partnership with a local strategic partner;
• Coordinating with foreign professional firms to ensure that they perform their duties professionally, diligently in realizing the best interest of client;
